Terms and Conditions – FireRoad Affiliate Program

BY SIGNING UP WITH THE FIREROAD FOOD CO. (DBA FIREROAD, "FireRoad", "We", or "Us") AFFILIATE PROGRAM ("Affiliate Program"), YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS ("Agreement"). YOU HEREBY AGREE THAT YOU HAVE READ AND UNDERSTOOD ALL THE CLAUSES OF THIS AGREEMENT, AND AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS HEREIN.

YOU ("You", "Affiliate", or "Affiliates") AGREE THAT THIS AGREEMENT IS ENFORCEABLE LIKE ANY WRITTEN NEGOTIATED AGREEMENT SIGNED BY YOU, AND THIS AGREEMENT IS ENFORCEABLE AGAINST YOU.

This is a legal agreement between you (either an individual or a legal entity) and FireRoad and its authorized service provider(s), distributor(s), promoter(s), and reseller(s). This Agreement outlines the rules and regulations for the Affiliate Program of FireRoad.

The FireRoad Affiliate Policy found online at https://fireroad.refersion.com/affiliate/registration is incorporated herein by reference. FireRoad reserves the right to approve or reject any Affiliate Program application at its sole and absolute discretion. For the rejection of the application, you will never ask for any legal recourse against FireRoad or any FireRoad authorized representative.

The FireRoad Affiliate Program is designed for content creators, publishers, coaches, and communities who introduce new customers to FireRoad through their own audience. It is not open to coupon, deal, cashback, or similar sites (see "Prohibited Traffic Sources and Promotion Methods" below).

TERMS AND CONDITIONS OF THE ACCOUNT

You must provide your legal full name, a valid email address, a valid payout email address in your own name, the website or social media profiles you will use to promote FireRoad, and any additional information requested in order to complete the signup process.

You are responsible for maintaining the security of your account and password. FireRoad cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

You are responsible for all content posted and activity that occurs under your account.

One person or legal entity may not maintain more than one account unless expressly authorized.

You may not use the Affiliate Program for any illegal or unauthorized purpose. You must not, in the use of the affiliate account or Affiliate Program, violate any laws in your jurisdiction (including but not limited to copyright laws).

You may not use the Affiliate Program to get a discount on FireRoad products.

PROHIBITED TRAFFIC SOURCES AND PROMOTION METHODS

Unless FireRoad has given you prior written approval, you may not promote FireRoad, or earn commission, through any of the following:

Coupon, deal, and voucher sites. Any website, app, newsletter, or social account whose primary purpose is listing coupon codes, promo codes, discounts, or deals.

Cashback, rebate, reward, and loyalty programs. Any site, app, or program that pays, shares, or rebates any part of your commission, or any other reward, to the customer.

Browser extensions, toolbars, and software. Any browser extension, plugin, toolbar, or downloadable software that inserts, auto-applies, or suggests coupon codes, or that sets or overwrites affiliate tracking at checkout.

Incentivized traffic. Offering customers any payment, reward, or other incentive to click your link or place an order, other than a personalized coupon code issued to you by FireRoad.

Cookie stuffing and forced clicks. Setting affiliate tracking without the customer's knowing click on your link, including through pop-ups, pop-unders, hidden frames, auto-redirects, or similar techniques.

Sub-affiliate and affiliate networks. Redistributing your links or codes to other publishers through an affiliate network or sub-affiliate arrangement.

FireRoad may, in its sole discretion, approve individual exceptions in writing, which may carry a different commission rate. Commissions earned through a prohibited method are not payable and may be reversed, and the Affiliate account may be suspended or terminated.

PAID SEARCH, PAID SOCIAL, AND TRADEMARK POLICY

Pay-per-click (PPC) bidding is NOT allowed without prior written permission.

You are not allowed to promote FireRoad or its products on any paid platform without express written consent from FireRoad.

You may not bid on, or use in ads, account names, or domain names, the terms "FireRoad", "Fire Road", "myfireroad", FireRoad product-line names (including "FRX" and "Balance"), or any misspelling or variation of them.

You may not run paid ads that link directly to a FireRoad website through your affiliate link.

TRACKED LINKS AND PERSONALIZED COUPON CODES

Use your tracked link. After approval, you will be assigned a unique tracked affiliate link. Commission is paid only on orders tracked to your account through your tracked link or your personalized coupon code. Mentioning, linking to, or tagging FireRoad or its websites without your tracked link or code (for example, a plain "myfireroad.com" link) is not tracked and will not earn commission.

Personalized coupon codes. Affiliates may receive a personalized coupon code to share with their audience, upon approved request. Your code is for your own audience and channels only.

No publishing codes on coupon sites. You may not submit, post, or allow your code to be listed on any coupon, deal, cashback, or code-sharing site, extension, or forum. If FireRoad finds your code has been published in such a place, whether or not you posted it, FireRoad may deactivate or replace it, and orders placed with a leaked code are not eligible for commission.

FireRoad promotions don't qualify. Orders using a public FireRoad promotion or a code not issued to you are not credited to you. This includes sitewide, email, and first-order offers.

Attribution. Commission is credited to one Affiliate per order. When an order uses an Affiliate's personalized coupon code, that Affiliate is credited, regardless of any earlier link click. Otherwise, the Affiliate whose tracked link was most recently clicked within the attribution window is credited, according to FireRoad's affiliate tracking platform.

FTC DISCLOSURE AND PRODUCT CLAIMS

Disclose your relationship. You must clearly and conspicuously disclose your affiliate relationship with FireRoad wherever you promote FireRoad, as the U.S. Federal Trade Commission's Endorsement Guides require. For example, use "#ad", "#affiliate", or "I earn a commission if you buy through my link" near the link or code and within the post, video, or caption itself, not only in a bio or a separate page.

Only make honest, accurate claims. You may describe your own honest experience with FireRoad. You may not make claims that FireRoad products diagnose, treat, cure, or prevent any disease or medical condition. You may not guarantee specific weight-loss or health results. You may not state or imply that FireRoad is affiliated with, endorsed by, or a substitute for any medication, including GLP-1 medications. Nutrition and product information must match what FireRoad publishes.

COMPLIANCE WITH LAWS

As a condition to your participation in the Affiliate Program, you agree that while you are an Affiliate, you will comply with all laws, ordinances, rules, regulations, orders, licenses, permits, judgments, decisions, or other requirements (collectively, "Laws") of any governmental authority that has jurisdiction over you, whether those Laws are now in effect or later come into effect during the time you are an Affiliate or participating in the Affiliate Program, including, without limitation, during the application process. Without limiting the foregoing obligation, you agree that as a condition of your participation in the Affiliate Program, you will comply with all applicable federal, state, or other Laws that govern marketing email, including without limitation the CAN-SPAM Act of 2003 and all other anti-spam laws, and all Laws and guidelines that govern endorsements and advertising, including the FTC Endorsement Guides.

COMMISSION AND PAYMENT

Commission rate and qualifying orders. The commission rate, attribution window, and qualifying orders for your account are set out in the Commission & Business Details of the offer assigned to you, as shown on the program application page and in your affiliate dashboard. FireRoad may offer different commission offers to different Affiliates. FireRoad will notify you by email at least 30 days before reducing the commission rate on your offer. The change applies only to orders placed after it takes effect.

Approval and payout. Affiliate commissions are approved, if valid, on the 1st of each month for orders that are no longer eligible for refund or cancellation. Payouts are made by the 10th of each month.

Refunds and cancellations. There will be no commission on Products that are refunded or orders that are cancelled. If the commission has already been paid, it will be adjusted in the next payout.

Minimum payout. The minimum payout is five US dollars ($5), or the equivalent, in approved commissions. No payments will be made unless and until at least $5 has been earned and approved.

Verification. FireRoad and any manager of the Affiliate Program may, at any time, request proper due diligence and KYC (Know Your Customer) information before issuing payments.

Self-referrals. A self-referral does not count as a qualified referral, so self-referrals are not eligible for commission. This includes orders by you, your household, or accounts you control.

RESPONSIBILITIES

Affiliates must follow the brand voice, mission, vision, and values of FireRoad (collectively, the "Brand").

Approved Affiliates will be solely responsible for the development, operation, and maintenance of their site in connection with the Affiliate Program and for all materials that appear on such site. By way of example, but not limitation, you will be solely responsible for:

The technical operation of your site and all related equipment;

Ensuring the display of links to FireRoad Products on your site does not violate any agreement between you and any third party (including, without limitation, any restrictions or requirements placed on you by a third party that hosts your site);

The accuracy, truth, and appropriateness of materials posted on your site (including, among other things, all Product-related materials and any information you include within or associate with links to FireRoad Products);

Ensuring that materials posted on your site do not violate or infringe upon the rights of any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights);

Ensuring that materials posted on your site are not libelous or otherwise illegal; and

Ensuring that your site accurately and adequately discloses, either through a privacy policy or otherwise, how you collect, use, store, and disclose data collected from visitors, including, where applicable, that third parties (including advertisers) may serve content and/or advertisements and collect information directly from visitors and may place or recognize cookies on visitors' browsers.

TERMINATION

Your Affiliate application and status in the Affiliate Program may be suspended or terminated for any of the following reasons:

Inappropriate advertisements, including, without limitation, false claims, misleading hyperlinks, and the like.

Spamming (mass email, mass newsgroup posting, etc.).

Advertising on sites containing or promoting illegal activities.

Use of any prohibited traffic source or promotion method, including publication of your coupon code on a coupon, deal, or cashback site.

Failure to disclose your affiliate relationship, or to abide by Federal Trade Commission guidelines and regulations or any applicable Laws.

Violation of the FireRoad Brand or any FireRoad intellectual property rights, including, without limitation, copyright or trademark, or any abuse or misuse of our intellectual property rights.

Manipulating or misleading any customer to earn an Affiliate commission.

Repetitive self-referrals, fraudulent transactions, or suspected Affiliate fraud.

If FireRoad or any Affiliate manager team does not feel comfortable, in their sole and absolute discretion, about the Affiliate's promotional method(s) with respect to FireRoad's brand value.

Inactivity: no tracked orders for twelve (12) consecutive months.

FireRoad, in its sole and absolute discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Affiliate Program or any other FireRoad service for any reason at any time. Such termination will result in the deactivation or deletion of your Affiliate account and/or denial of access to your account. You will forfeit all potential or to-be-paid commissions in your account that were earned, or are suspected to have been earned, through fraudulent, illegal, prohibited, or overly aggressive or questionable sales or marketing methods, as determined by FireRoad in its sole and absolute discretion. Upon termination for any other reason, approved commissions earned through permitted methods will be paid in the next regular payout. FireRoad reserves the right to refuse service to anyone for any reason at any time.

FireRoad and its authorized representatives have the right to change, amend, or impose any rules, including the above termination rules, at any time without prior notice, except as stated under "Commission and Payment" for commission-rate reductions.

IDENTIFYING YOURSELF AS A FIREROAD AFFILIATE

You may not issue any press release with respect to this Agreement or your participation in the Affiliate Program; such action may result in your termination from the Affiliate Program. In addition, you may not in any manner misrepresent or embellish the relationship between you and FireRoad. This includes, without limitation, expressing or implying that you develop the products FireRoad provides, that you are part of FireRoad in any way, or that there is any relationship or affiliation between you and FireRoad except as expressly permitted by this Agreement. It also includes expressing or implying that FireRoad supports, sponsors, endorses, or contributes money to any charity or other cause.

USES OF PROMOTIONAL LINKS AND MATERIALS

After signing up for the Affiliate Program and being approved, you will be assigned a unique tracked affiliate link and Affiliate Code. You are permitted to place links, banners, or other graphics provided with your Affiliate Code on your site, in your emails, on your social media, or in other communications, subject to the terms of this Agreement.

By participating in this Affiliate Program, you grant FireRoad a non-exclusive, royalty-free license to reshare, repost, and use any posts and/or creative generated by you about FireRoad in its marketing, with credit to you where practical.

Affiliates may use the graphics and text provided by or on behalf of FireRoad, or may create their own as long as they are in line with the terms of this Agreement and the Brand, and are not otherwise deemed inappropriate by FireRoad in its sole and absolute discretion.

Affiliate links should point to the FireRoad page most relevant to the Product being promoted.

CUSTOMER DEFINITION

Customers who buy products through this Affiliate Program will be deemed to be our customers. Accordingly, all of our rules, policies, and operating procedures concerning customer orders, customer service, and product sales will apply to those customers. We may change our policies and operating procedures at any time. For example, we will determine the prices to be charged for Products sold under this Affiliate Program in accordance with our own pricing policies. Product prices and availability may vary from time to time. We will use commercially reasonable efforts to present accurate information, but we cannot guarantee the availability or price of any particular product.

RELATIONSHIP OF PARTIES

You are an independent contractor, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and FireRoad. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Agreement, including, without limitation, the relationship between you and FireRoad.

LIABILITY

FireRoad uses third-party affiliate tracking software and will not be liable for indirect or accidental damages (including loss of revenue or commissions) due to affiliate tracking failures, loss of database files, or any results of intents of harm to the Affiliate Program, our website(s), or the affiliate tracking software's website(s).

We will not be liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data, arising in connection with this Agreement or the Affiliate Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Affiliate Program will not exceed the total commissions paid or payable to you under the terms of this Agreement.

TERM OF THE AGREEMENT

The term of this Agreement will be effective immediately upon your acceptance into the Affiliate Program and will end when your Affiliate account is terminated.

The Agreement may be modified by FireRoad at any time, subject to the notice terms for commission-rate reductions above. Your continuing participation in the Affiliate Program will constitute your acceptance of any change.

ELECTRONIC SIGNATURES EFFECTIVE

The Agreement is an electronic contract that sets out the legally binding terms of your participation in the FireRoad Affiliate Program. You indicate your acceptance of this Agreement and all of the terms and conditions contained or referenced in this Agreement by completing the FireRoad Affiliate Program application process. This action creates an electronic signature and binds you under a legal agreement.

INDEPENDENT INVESTIGATION

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEBSITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEBSITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE AFFILIATE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.

ARBITRATION

Any dispute relating in any way to this Agreement (including any actual or alleged breach thereof), any transactions or activities under this Agreement, or your relationship with us or any of our affiliates shall be submitted to confidential arbitration. However, to the extent you have in any manner violated or threatened to violate our intellectual property rights, we may seek injunctive or other appropriate relief in any state or federal court or any other court of competent jurisdiction, and you consent to non-exclusive jurisdiction and venue in such courts. Arbitration under this Agreement shall be conducted under the rules then prevailing of the American Arbitration Association. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise.

MISCELLANEOUS

This Agreement will be governed by the laws of the State of New York, without reference to rules governing choice of laws. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and be enforceable against the parties and their respective successors and assigns.

The failure of FireRoad to enforce your strict performance of, or to exercise or enforce any right under, any provision of this Agreement shall not constitute a waiver of that right or provision, or of FireRoad's right to enforce it or any other provision later. This Agreement constitutes the entire agreement between you and FireRoad, superseding any prior agreements between you and FireRoad (including, but not limited to, any prior versions of this Agreement or any other Terms and Conditions).

FireRoad reserves the right to update and change the terms and conditions of this Agreement from time to time without prior notice, except as stated for commission-rate reductions. Any new features that augment or enhance the current Affiliate Program, including the release of new tools and resources or other Products, shall be subject to this Agreement. Continued use of the Affiliate Program after any such changes shall constitute your consent to such changes.

If you post photos of your FireRoad purchase while part of our affiliate program, we may ask for your permission to repost this content. We will only depict you in a positive light, and will not significantly alter the appearance of your photo.
